Transactions

Lending

Documentation, security and regulatory advice for lenders and borrowers in bilateral, syndicated, project and asset-based financing.

Overview

A loan is only as strong as its documents and security. We act for lenders and borrowers in structuring, documenting and perfecting financing transactions and in recovering debts when they go wrong.

We advise on bilateral and syndicated loans, project and acquisition finance, trade finance and non-interest financing. Our work includes facility agreements, guarantees, debentures, legal mortgages and share charges, and the steps needed to perfect security, such as registration at the Corporate Affairs Commission and the National Collateral Registry and obtaining Governor’s or Minister’s consent.

We also advise on regulatory issues affecting lenders and borrowers, including foreign currency borrowing, and we act in debt recovery and the enforcement of security.
